Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") form a binding contract between you ("you," "Customer") and Meridian SEO, LLC ("Meridian SEO, LLC," "we," "us"). By creating an account or using our AI website generation platform (the "Service"), you agree to be bound by these Terms and our Privacy Policy.

If you are entering this agreement on behalf of a business, you represent that you have authority to bind that business.

2. The Service

Meridian SEO, LLC provides software that generates, hosts, and deploys websites using artificial intelligence based on inputs you supply. The Service includes:

• Generation of HTML/CSS/JS website packages
• Hosting and deployment on infrastructure operated by us or our partners (Vercel, Cloudflare, GitHub)
• Optional blog generation, A/B testing, and analytics features
• Optional white-label and agency multi-tenant features (Agency tiers)

3. Accounts

You must provide accurate registration information and keep it current. You are responsible for safeguarding your password and for all activity under your account. Notify us immediately at info@meridianseo.ai of any unauthorized use.

You must be at least eighteen years old to use the Service. Accounts are personal or business-bound; you may not transfer your account without our written consent.

4. Subscriptions and Billing

Plans

We offer the following subscription plans, each with the page quotas and features described on our pricing page:

• Growth — $39.97/month
• Empire — $149/month
• Agency Pro — $497/month
• Agency Enterprise — $997/month

Pricing may change with at least thirty days' notice. Existing subscriptions are honored at the current price through the next renewal cycle.

Trial

The promotional code TEST DRIVE activates a 14-day free trial on first sign-up. You will not be charged until the trial ends. You may cancel at any time during the trial without charge. We send a reminder email three days before trial conversion.

Payment

You may pay by credit/debit card via Stripe or by PayPal Subscriptions. By providing payment information you authorize us to charge the subscription fees in advance for each billing period until you cancel.

Renewal

Subscriptions renew automatically each month (or year, if you have chosen annual billing) at the then-current price for your plan, unless you cancel before renewal.

Failed Payments

If a payment fails, we will retry up to three times over seven days. If still unpaid, your generated websites may be unpublished (returned to a 404 state). Your project data is preserved for thirty days, after which it may be deleted permanently.

5. Cancellation and Refunds

You may cancel at any time from your account dashboard or by emailing info@meridianseo.ai. Cancellation takes effect at the end of the current billing period unless you request immediate cancellation with prorated refund. Refund policy in full at /refund.

6. Bring-Your-Own-Key (BYOK)

Certain features (blog generation, voice-to-site iteration, conversion forensics) require you to supply your own API key for a third-party provider (e.g., OpenAI). You authorize us to use that key on your behalf solely for the features you have enabled. You remain responsible for charges incurred on your account with the third-party provider. We do not share or sell your API keys; they are encrypted at rest and accessible only to the generation pipeline.

7. Content You Provide

Your content stays yours

You retain all rights in the content you submit ("Customer Content"), including text, voice recordings, images, video, audio, and uploaded media. You grant Meridian SEO, LLC a worldwide, royalty-free license to host, process, transform, store, and display your Customer Content solely to provide the Service.

You are responsible for what you submit

You represent and warrant that you own or have the right to use all Customer Content you submit, that it does not infringe any third-party rights, and that it does not violate any applicable law.

AI-generated output

To the extent permitted by applicable law, you own the output that the Service generates from your inputs ("Generated Content"). We make no claim of authorship and do not assert copyright over Generated Content. However: AI-generated content may inadvertently resemble existing works. You are responsible for reviewing Generated Content before publication and ensuring it does not infringe third-party rights.

8. Prohibited Uses

You may not use the Service to generate websites for or related to:

• Cannabis products, retail, or services (including CBD products marketed for human consumption where state-illegal)
• Alcohol retail (liquor stores, breweries selling direct, distilleries selling direct)
• Sex shops, adult-toy retail, escort services, adult entertainment
• Firearms, ammunition, weapons, or weapon accessories retail
• Activities that violate applicable law
• Hate speech, harassment, or content that incites violence
• Sexually explicit material or content involving minors
• Fraud, phishing, malware distribution, or other deceptive practices
• Misrepresentation of medical or financial outcomes
• Content that infringes the intellectual property of others

We use automated and human review to identify prohibited uses. Detected violations may result in immediate suspension or termination without refund.

9. Generated Websites and Hosting

Generated websites are deployed to GitHub repositories and hosted via Vercel under your account or under our managed infrastructure (as selected). You are responsible for any custom domain you choose to attach and for keeping its DNS configuration current. We are not responsible for downtime caused by your DNS, registrar, or upstream connectivity.

10. Acceptable Use

• Do not attempt to bypass quota, security, or moderation systems
• Do not reverse engineer, decompile, or attempt to extract our prompts, models, or proprietary code
• Do not use the Service to compete directly with Meridian SEO, LLC by reselling our raw generation API output as your own AI generation product
• Do not exceed reasonable rate limits or attempt to overload the Service
• Do not use the Service to generate content for third parties without their consent

11. White-Label and Agency Tiers

Agency Pro and Agency Enterprise tiers allow you to manage multiple client workspaces and to remove Meridian SEO, LLC branding from your dashboard. You remain solely responsible for the relationship with your end clients, including the terms under which you provide the Service to them. You agree to communicate to your end clients any limitations described in these Terms that affect them.

12. Service Availability

We target 99.9% monthly uptime for the dashboard and 99.95% for generated websites hosted on our infrastructure. Maintenance windows are communicated at least seventy-two hours in advance where possible. Agency Enterprise customers receive a written Service Level Agreement with credits for missed targets.

13. Termination

We may suspend or terminate your account immediately if you violate these Terms, fail to pay, or engage in conduct harmful to other users or our infrastructure. You may terminate at any time as described in Section 5.

Upon termination, your access to the Service ends. We retain your project data for thirty days after termination to allow you to restore service if you change your mind, after which it is deleted permanently unless required to be retained by law.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT GENERATED CONTENT WILL BE ACCURATE OR FREE OF DEFECTS, OR THAT IT WILL ACHIEVE ANY PARTICULAR SEO, CONVERSION, OR BUSINESS OUTCOME.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL Meridian SEO, LLC OR ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

16. Indemnification

You agree to indemnify and hold harmless Meridian SEO, LLC from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your Customer Content, your Generated Content, your violation of these Terms, or your violation of any third-party right.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction there.

18. Changes to These Terms

We may modify these Terms from time to time. Material changes will be notified by email at least thirty days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.

19. Miscellaneous

• Entire agreement. These Terms and the documents referenced herein constitute the entire agreement between you and us regarding the Service
• Severability. If any provision is held unenforceable, the remaining provisions remain in full effect
• No waiver. Failure to enforce a right is not a waiver of that right
• Assignment. You may not assign these Terms without our consent; we may assign without your consent in connection with a merger, acquisition, or asset sale
